The successful candidate will have:
  • Oversight of the full secretariat service to Nest Corporation and Nest Invest Ltd., including all Board, Committee and Panel meetings
  • Support Nest’s Corporate Secretary in delivering strategic governance projects and initiatives
  • Manage the relationships with the board and panel members including delivery of information thereto and receipt of board member disclosure returns
  • Monitor external developments in corporate governance regulation and industry standards and their influence on the governance and operations of Nest and advise on any necessary improvements;
  • Draft and present Board and Committee reports on key governance topics and initiatives, ensuring necessary stakeholder engagement;
  • Deputise for the Corporate Secretary as and when required
  • Act as a Senior Leader within the General Counsel function and across Nest as a whole
  • Oversight of, and regular review of, the governance arrangements and documentation for NEST Corporation and Nest Invest Ltd. including Terms of Reference; Schedule of Reserved Powers and Delegations and all related processes; induction materials and training programme; governing body effectiveness evaluations;
  • Monitor compliance with corporate governance codes and the Framework Agreement between Nest Corporation and the Department for Work and Pensions, suggesting process improvements where appropriate
  • Develop, maintain and provide assurance on compliance with policies owned by the Corporate Secretariat team, including Whistleblowing Policy, Conducting Political Activities Policy, Gifts and Hospitality Policy, Conflicts of Interest Policy, Register of Interests Policy and External Appointments Policy;
  • Manage internal compliance obligations and auditor requests;
  • Ensure that NEST Corporation meets its responsibilities in repect of the Freedom of Information Act;
  • Manage all governance and related aspects of NEST Corporation’s requirements arising from its status as a public corporation including responses to the governing department which include Parliamentary Questions;
  • Work with colleagues at all levels right across NEST and at its suppliers to implement the above and to embed an effective approach to governance;
  • Be an effective member of the GC team and support the delivery of the function;
  • Maintain the Corporate Seal register and use of the Corporate Seal;
  • Manage logistics of the annual public appointments process, liaising effectively with key internal and external stakeholders;

Directorate/Department Overview

The Corporate Secretariat is a part of the General Counsel Directorate which also includes Nest’s legal function. (The legal function, headed by Nest’s general counsel, consists of six legal professionals.) The Corporate Secretariat team consists of a Corporate Secretary (currently on parental leave and due to return 1 August), a Senior Assistant Company Secretary, an Assistant Company Secretary, and a Company Secretarial Assistant.  Following a review of business and secretariat needs and recent colleague absences, Nest would like to hire a Deputy Corporate Secretary who will report to the Corporate Secretary.

The Corporate Secretariat team is dedicated to delivering high standards of governance and advice across the organisation and to the Nest Corporation Governing Body (the Board) and its committees (Audit, Investment, Nominations and Remuneration and Risk), as well as the Members’ and Employers’ Panels, which are advisory panels to the Board, and to the Executive Committee. In addition to providing advice on governance issues and ensuring that the Board, its committees, and the panels comply with relevant statutory and regulatory requirements, the Corporate Secretariat team also manages several organisational policies.  The team also provides related training and ensures compliances with such policies. The team also responds to Freedom of Information Act requests and provides information required to respond to Parliamentary Questions.
